These Terms and Conditions govern the provision of web hosting and SEO optimisation services by Spencer Designs (“we,” “us,” or “our”) to you (“you” or “the Client”) for the website https://spencerdesigns.co.uk/. By using our services, you agree to be bound by these Terms and Conditions.

1. Services Provided

We offer web hosting and Search Engine Optimisation (SEO) services as described on our website. These services are subject to the terms outlined below.

2. Web Hosting Services and Fees

• Standard Web Hosting Fee: Our standard web hosting service is charged at a rate of £30.00 per month.
• Waiver of Hosting Fee: The monthly web hosting fee will be waived if the Client chooses to engage our Local SEO Optimisation services covering 200 or more specified areas.
• Payment Terms:
  • All services are provided on a pay-as-you-go basis, with charges applied one month in advance.
  • Payment is due on the designated billing date each month.

3. Payment and Suspension

• Payment Due Date: Payment is due on the billing date as communicated to the Client.
• Suspension for Non-Payment: In the event that payment is not received by the due date, the website hosted by us may be suspended after 3 days of non-payment.
• Reconnection Fee: If the website is suspended due to non-payment and the Client wishes to have it reactivated, a reconnection fee of £20.00 will be applied, provided the outstanding payment is made within 28 days of the original due date.
• Continued Monthly Charges During Suspension: Please note that the monthly hosting charge (even if waived due to SEO services) will continue to accrue even while the website is under suspension due to non-payment. This is to maintain the server space and resources allocated to your website.

4. Contract Termination Due to Non-Payment

• Termination After 28 Days: If full payment, including any outstanding fees and the reconnection fee (if applicable), is not received within 28 days of the original payment due date, the contract for services will be terminated automatically.

5. Contract Renewal After Termination

• New Setup Charge: Should the Client wish to renew the services after termination due to non-payment, a new setup charge will be incurred. This charge will be equivalent to the setup charge paid when the initial pay-as-you-go contract was established.

6. SEO Optimisation Services

• Details of our Local SEO Optimisation services, including the scope of coverage and any additional terms, will be provided separately. The waiver of the hosting fee is contingent upon maintaining an active Local SEO Optimisation service covering 200 or more areas. If the SEO service is reduced below this threshold or terminated, the standard hosting fee will apply.

7. Limitation of Liability

• To the maximum extent permitted by law, our liability for any loss or damage arising from the provision of our services, including but not limited to website downtime, data loss, or SEO results, shall be limited to the total amount of fees paid by the Client to us in the 12 months preceding the event giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of our services.  

8. Client Responsibilities

• The Client is responsible for the content of their website and ensuring it complies with all applicable laws and regulations.
• The Client is responsible for providing accurate and up-to-date contact and billing information.

9. Intellectual Property

• Unless otherwise agreed in writing, we retain all intellectual property rights in the services provided, including any software, tools, and methodologies used.
• The Client retains ownership of their website content.

10. Data Backup

• While we may perform regular backups, the Client is solely responsible for backing up their website data. We do not guarantee the restoration of lost data.

11. Amendments to Terms and Conditions

• We reserve the right to modify these Terms and Conditions at any time. We will notify Clients of any significant changes by email or by posting the updated terms on our website. Continued use of our services after such notification shall constitute acceptance of the revised Terms and Conditions.

12. Governing Law

• These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
